| TERMS AND CONDITIONS Advertisement begins on the 5th business day after receipt of your signed contract and annual payment . Your Advertisement will be in effect for a period of one (1) year from that date. Advertisement to be placed on the page of www.MyPhx.info. You will receive a copy of the entire agreement by mail for your records. These are the terms and conditions that govern the relationship between as our “Client” and Jessica Farrell, owner of www.MyPhx.info. For the purpose and remainder of this agreement, will be referred to as “Client” and Jessica Farrell, owner of www.MyPhx.info will be referred to as “Publisher”. When you sign the Advertising Agreement, you become our “Client”, and, as such, become legally bound by these Terms and Conditions. 1. Publisher agrees to provide the Client with an advertising space on www.MyPhx.info, for the time-frame indicated on the order form above. 2. Publisher agrees and client understands that the Advertisement includes the Clients’ Name, Address, Contact information and if available, a link to the Clients website. Banners may also be inserted as part of the advertisement for at a separate rate. Client provided Banners must be no larger than 200 x 75 pixel and be provided to Publisher at thefarrellfam@cox.net. When Publisher is creating the banner for the Client, they will be given no more than 3 options to choose from for the related fee. 3. Publisher agrees to make changes, adjustments or updates, requested in writing, within 5 business days. 4. Client agrees to pay Publisher the total amount indicated on the Order Form. Payment in full is due in advance of advertisement publication on www.MyPhx.info. Payments are to be made payable to Jessica Farrell. 5. Client assumes liability for the content of their website, as well as all advertisements, and agrees to indemnify the Publisher against any and all damages, lawsuits and/or related expenses including but not limited to court, attorney and or legal fees arising out of such publication. 6. The publisher shall have no liability for failure to execute accepted advertising orders because of governmental restrictions, acts of God, accidents, fires, Internet outages and/or any other cause beyond the Publisher’s control affecting production or distribution. The Publisher is not responsible for errors in key numbers. Publisher shall have no liability for damages if, for any reason, he fails to publish an advertisement. 7. Publisher does not warrant or guarantee that the functions of the website or the operation of the website will be uninterrupted or error free. Publisher will not be liable to Client or any third party for damages, including the loss of profits or other incidental, consequential or special damages arising out of the operation of, or inability to operate the web page or web site. 8. The Publisher reserves the right to reject any advertising order or copy at any time, whether or not the order copy has already been accepted or acknowledged. Publisher will not be bound by any conditions on contract, orders or instructions when such conditions conflict with Publisher’s policies. 9. The Client acknowledges and agrees that they will forfeit the total paid for Advertisement placed on www.MyPhx.info in the event of early termination. There are expressly no refunds of any kind or nature given by the Publisher to the Client. 10. The Terms and Conditions contained in this Agreement supersede all prior oral or written understandings between the parties and constitute the entire agreement between them concerning the subject matter of this Agreement and shall not be contradicted, explained or supplemented by any course of dealing between Publisher and any of its affiliates and Agent or any of its affiliates. There are no understandings or representations, expressed or implied, not expressly set forth in this Agreement. This Agreement shall not be modified or amended except in writing and signed by both parties.
